BYLAWS OF THE LONE STAR
ANTIQUE TRACTOR AND ENGINE ASSOCIATION
The purpose of the Lone Star Antique Tractor and Engine Association is to promote the collection, restoration, preservation and exhibition of antique and classic farm tractors, engines, power driven farm equipment and other equipment of historical value. All activities will be oriented toward family participation and will encourage the interest of youth in historical preservation and the activities sponsored by the association. The Association will organized under and exercise all of the rights, responsibilities and power conferred on non-profit corporations/organizations under the laws of the State of Texas and under the United States Internal Revenue Code, Non-profit 501C (3).
The principal address/office for the transaction of business of the Association shall be at any place as may from time to time be designated by the Board of Directors or President as business matters require.
3.01 Family membership defined as all members of an
immediate family and representing one vote.
3.02 Student membership defined as a student enrolled
full time in a private or public secondary school
or college.
3.03 Sustaining membership defined as individuals,
businesses or corporations supporting the purposes and activities of the Association.
The Association shall have a President, Vice-President, Vice-President for Promotions, Secretary, and Treasurer. Officer duties are as follows:
4.01 President:
President: The President shall preside at all meetings of
the members and serve as Chairman of the Board of
Directors. He may also have other duties and powers
designated by the By-Laws or as may be prescribed from time
to time by the Board of Directors or a majority of the
voting membership.
4.02 Vice-President:
The Vice-President shall perform all duties and exercise all powers of the President when the President is absent or is otherwise unable to act. He shall also perform such other duties and have such other powers as may be prescribed from time to time by the Board of Directors.
4.03 Vice-President for Promotion:
The Vice-President for Promotion will be responsible for public relations and promotion of all Association events and activities. He will supervise the production of a newsletter and web site when deemed appropriate.
4.04 Secretary:
The Secretary shall keep accurate minutes of all meetings of the Members and of the Board of Directors, keep an up to date roster of members in good standing, and conduct the necessary correspondence of the Association. He will conduct a sign-in/roll call of all Association Meetings.
4.05 Treasurer:
The Treasurer shall have custody of the Association Funds, shall deposit the funds in such bank as may be convenient to him/her and such funds shall be disbursed by checks signed by two designees: Treasurer; President; or Vice-President. The Treasurer will collect dues and update the membership roster maintained by the Secretary in a timely manner.
4.05 (a) A petty cash fund of $50.00 or less shall be
maintained by the Treasurer for the routine expenses of operating the Association by the Officers and Board of Directors.
4.05 (b) The Treasurer shall keep an accurate account
of all receipts and disbursements of funds and
property of the Association and shall submit an
itemized report thereof, showing the balances on
hand of all accounts (bank and petty cash) and
inventories. A written report will be submitted
at all membership and Board of Directors
meetings and entered into the minutes of said
meetings.
4.06 Historian:
The Historian shall keep documentation of the activities
of the club by maintaining a scrap book of pictures,
newspaper articles, copies of publicity of various format,
and other items that will preserve a history of the club
actions and activities.
ARTICLE FIVE—BOARD OF DIRECTORS
The Association shall have a Board of directors consisting of nine(9) members. The membership of the Board of Directors shall be the President, Vice-President, Vice-President for Promotion, the immediate Past-President, and five members elected by the membership of the Association. The Secretary and Treasurer will serve as non-voting members of the Board of Directors. The President will be Chairman of the Board of Directors, but will not vote except to break a tie.
5.01 The Board of Directors shall have the following Duties.
5.01 (a) The Board of Directors may authorize any officer
or officers, agent or agents, to enter into any
contract or execute any instrument in the name of
and on behalf of the Association. No officer,
agent or other person shall have any power or
authority to bind the Association by any
contract or engagement or to pledge credit or to
render it liable for any purpose or to any amount.
5.01 (b) To review the By-Laws periodically and to bring
suggested changes to a vote of the membership of
the Association.
5.01 (c) To review the dues on a periodic basis and
determine if changes in the amount collected are
required.
5.01 (d) To hear any complaints from members and to make
judgments on such complaints.
5.01 (e) To review alleged misconduct by members and to
establish judgment and discipline against such
member, including, but not requiring, removal from
the Association.
5.01 (f) To review the fiscal condition of the Association
and make recommendations to the Membership
regarding finances.
5.01 (g) The Board will meet in February and meetings may
be called when necessary for the operation of the
Association
Elections for Officers and members of the Board of Directors will be held at the first meeting in February which is the beginning of the calendar year for the Association.
6.01 Officers term of office:
The term of office of the President and Vice-President shall consist of one year and no member shall serve in these two offices for more than two consecutive terms.
6.02 Board of Directors:
The term of office of the Board of Directors is two years
and an elected member of the Board may serve successive
terms or until their successors are elected.
6.03 Board of Directors:
Five board members will be selected. For the first election only, six board members will be selected—three for one-year terms and three for two-year terms. This will establish a schedule of replacing one half of the Board each election year and fill the place on the board held by the “Past-President” which would be vacant in a new organization.
6.04 Nominating Committee:
The president shall, at the December meeting of the Association, appoint a Nominating Committee consisting of the immediate Past-President, one member of the Board of Directors and two members-at-large. This committee will secure and present to the membership a full slate of officers and board members for consideration at the first meeting of the calendar year. The committee is charged with securing qualified nominees and confirming that they would serve, if elected.
Meetings will be held bi-monthly in even numbered months, on the first Thursday at 7:00 p.m. The meeting date may be changed to coincide with a special event or activity.
7.01 The first business meeting of each calendar year shall be held for the purpose of electing officers and directors for the ensuing year and to conduct Association business.
7.02 Where these By-Laws are silent, Robert’s’ Rules of Order shall govern the procedure of the meetings and operation of the Association.
Family dues will be set by the club and are good for the calendar year. All dues are due during February which is the first month of the calendar year. Membership privileges shall be suspended until such dues are paid. Dues will not be prorated if a member joins during the calendar year. The Board of Directors, upon review, may increase the Association dues when required by financial considerations.
8.01. Student membership is offered to all students qualified under Article 3.02, but they have to pay a membership fee equal to the cost of insurance for the association. This fee will be set by the Board of Directors each year.
8.03 Sustaining membership is for individuals, businesses, and
corporations that donate funds or goods and services that
support the Association.
The By-Laws of the Lone Star Antique Tractor & Engine Association may only be amended by a vote of a simple majority of members present at a regular or called meeting of the Association. This action can only be taken after due notice has been given to all membership in a letter at least 30 days prior to said meeting. No amendment may be approved that prevents the Association’s compliance with state and federal regulations regarding non-profit organizations.
The Association shall support a variety of shows, pulls, family activities, “gas ups”, swap meets, play days to fulfill the purposes of the Association as stated in Article One.
10.01 The Association shall sponsor an annual tractor and engine
show. The specific date (s), time and place of this show
shall be determined by the Board of Directors.
10.02 The Association may also sponsor picnics, luncheons,
dinners, trips, swap meets, ‘gas ups”, and such other
activities from time to time as the membership shall agree
upon.
ARTICLE ELEVEN—MISCELLANEOUS
11.01 The Association is organized as a not-for-profit
organization and no member or officer shall receive any
gains, profits, or dividends from the Association. A
member or officer may, upon the production of proof
adequate to the Board of Directors, be reimbursed for out-
or-pocket expenses incurred for the benefit of the
Association.
11.02 The Association shall not engage in any activity which
would disqualify it a non-profit organization as
determined by the relevant provisions of the Internal
Revenue Code in its present form or as it may be amended.
11.03 The officers and board of directors are empowered to
prepare and file such forms as may be required by any
governmental entity for the purpose of complying with any
state or federal law relating to the operation of not-for-
profit organizations.
11.04 The Association shall contract with an insurance carrier,
licensed in Texas, for liability insurance for shows and
activities.
11.05 The Board of Directors may appoint standing committees as
follows or as needed.
11.05 (a) Safety Committee:
This committee is responsible for establishing
Guidelines for all Association activities.
11.05 (b) Tractor Pull:
This committee is responsible for establishing
rules, classifying tractors, supervising the
track, operation of the sled, and pull safety
along with the safety committee.
11.06 The President with the approval of the Board of Directors
can appoint members to temporary positions for individual
shows and activities. Examples of these assignments are:
Yard man/yard boss (supervises layout and placement of
tractors, engines and exhibits at shows); Pull
supervisor/pull boss; safety officer; etc.
11.07 Minimum age for tractor operators.
ll.07 (a) Minimum age of all unsupervised tractor
operators on the show grounds is 12 years of
age.
11.07 (b) Minimum age of tractor pullers is 12 years of
age. All pull participants under 18 years of
age must have a supervising adult on the track
with him/her at all times.
11.08 Should this Association be dissolved at any time in the
future, all assets would be donated to a non-profit
organization.
These By-Laws as amended have been adopted by the Lone Star Antique Tractor and Engine Association at its regular meeting this ______day of ______, 2005.
